TERMS OF USE AGREEMENT: User Submissions

We permit submissions to allow consumers like yourself to submit suggestion(s) to the Company. The Company does not guarantee that it will receive, accept, review, acknowledge, implement or take any action on your suggestion. You acknowledge and agree under this Agreement the Company is not obligated to compensate you or any other person, in any way, for your suggestion and shall be the sole and exclusive property of the Company. Further, you hereby irrevocably assign to the Company all right, title and interest worldwide in and to any and all suggestion (including all rights existing under patent, trademark, copyright, trade secret, and all other intellectual property laws) you submit. Your submission will automatically become the property of the Company without any compensation whatsoever.

Any suggestions you provide shall be deemed to be non-confidential. The Company shall be free to use such information on an unrestricted basis and will have no duty or obligation to hold such information in confidence. The Company may use or redistribute the submission for any purpose and in any way.

Any and all submissions to the Company you unconditionally and irrevocably grant to the Company an exclusive, irrevocable, perpetual, worldwide, fully paid and royalty-free license, with rights to sublicense through multiple levels of sub-licensees, to reproduce, make derivative works of, distribute, publicly perform and publicly display in any form or medium, whether now known or later developed, make, use, sell, import, offer for sale any product or service that would infringe such rights. Should you have any rights to a suggestion that cannot be assigned or licensed to the Company, then you unconditionally and irrevocably waive the enforcement of such rights and to any and all claims and causes of action of any kind against the Company.

In no event will the Company be liable to you for: any compensation, lost profits, consequential damages, special damages, or statutory damages; or for any amount in excess of ten US dollars ($10).

You agree to indemnify and hold harmless the Company from any liability, cost, expense, or claim or demand made by any third party, due to or arising out of or related to your conduct or in connection with your suggestion.
